力高健康生活有限公司（股票代码：02370）近日发布股东周年大会通告，董事会建议在满足适用法律与香港上市规则条件下，授权公司可于香港联合交易所以不超过已发行股份（不包括库存股份）总数10%的规模回购股份。按公司当前已发行总股份2亿股计算，回购上限约为2,000万股。回购资金将从合法可分配盈余、股份溢价账及其他法律允许的来源中支付，并满足开曼群岛及上市规则相关规定。公司另宣布，已向股东提呈于6月26日（星期五）召开股东周年大会，提议授予董事减免或修订现有的购回授权等事宜。
公司方面强调，股份购回计划有助于提升股东回报与优化资本结构。董事会表示，相关议案符合公司及股东整体最佳利益。如股东就回购计划给予批准，公司可在“股东周年大会结束后至下届股东周年大会前”或“股东大会撤销该授权之前”在市场适时执行回购。董事会同时提出，希望股东尽快办理有关出席大会的过户及登记手续，并遵守预先通知及相关时间安排。
