On 2 September 2026, Sterling Group Holdings Limited (“Sterling Group”) announced a series of governance changes that collectively re-establish compliance with Hong Kong Listing Rules 3.10(1), 3.10A, 3.21, 3.25, 3.27A and 13.92. The key developments are outlined below.
Executive appointment • Mr. Xie Jianfeng, aged 40, joins the Board as Executive Director and member of the Nomination Committee. • Current role: Vice President of Administration, Sterling Group; Director, various subsidiaries. • Previous experience: Chairman, Dongguan Caifangbian Technology (since June 2022); CEO, Huizhou Branch of Guangdong Chebangzhu Technology (2018–2019); Chairman, Dongguan Hefu Insurance Sales Agency (2013–2018). • Remuneration: Fixed annual salary of HK$120,000. • Additional responsibility: Appointed as the company’s Authorised Representative under Listing Rule 3.05.
Independent non-executive appointment • Ms. Cai Zhenhua, aged 40, joins as Independent Non-executive Director (INED), Chairperson of both the Remuneration and Nomination Committees, and member of the Audit Committee. • Current role: Head of Data Services, Nanjing Kangte Information Technology (since October 2019). • Listed-company experience: INED, Hang Yick Holdings (since May 2026). • Remuneration: Director fee of HK$10,000 per month, calculated pro-rata. • Ms. Cai has confirmed independence in accordance with Listing Rule 3.13.
Changes to board committees • Ms. Wong Mei Wai Alice, Chairperson, Executive Director and CEO, has stepped down as Chairperson of the Nomination Committee. • Following the above appointments, the Board now comprises six directors: three executive directors and three independent non-executive directors, meeting the minimum INED and committee composition requirements under the Listing Rules.
Authorised Representative update • Ms. Luo Yuechan has ceased to act as Authorised Representative; Mr. Xie Jianfeng assumes the role effective the same date.
Regulatory status • The new appointments and committee realignments have returned Sterling Group to full compliance with all relevant corporate governance provisions of the Hong Kong Listing Rules.
The Board extended formal welcomes to both Mr. Xie and Ms. Cai and expressed confidence in their contributions to Sterling Group’s governance framework.
