精优药业控股有限公司（00858.HK）17日公告称，旗下间接持股 80.46% 的非全资附属公司长春精优已于 2026 年 3 月 16 日完成股份回购及注销程序。此次回购涉及长春精优 10.06% 已发行股本，并同步注销，对应注册资本由 4,543 万元人民币降至 4,086 万元人民币，股份总数由 4,543 万股减至 4,086 万股。
完成回购后，精优药业通过精优企业对长春精优的持股比例由 80.46% 提升至 89.46%；其余股权由股东 A、股东 B、股东 C 分别持有 4.48%、3.82% 及 2.24%。长春精优仍为精优药业的间接非全资附属公司，其资产、负债及盈利将继续纳入集团合并财务报表。
公司董事会表示，所有交易条件已达成，股份回购及注销已顺利完成。本次回购构成须予披露交易及附属公司层面的关连交易。
截至公告日，精优药业执行董事包括谢毅博士、郭懿博士、程勇先生、楼屹博士及王秀娟女士；独立非执行董事为金松女士、曾立博士及杨晓蓉女士。
