Chu Kong Shipping schedules 29 May 2026 AGM; agenda covers 2025 dividend, board re-elections, 20% issue mandate and Articles update

Chu Kong Shipping Enterprises (Group) Co., Ltd. will hold its annual general meeting on 29 May 2026 at 3:00 p.m. (Hong Kong time) at the United Conference Centre, Admiralty, Hong Kong.

The board will seek shareholder approval to receive the audited consolidated financial statements for the year ended 31 December 2025 and to declare a final dividend for the same period.

Governance items include the proposed re-election of independent non-executive directors Mr Chan Kay-cheung and Hon. Rock Chen Chung-nin, with the board authorised to determine their remuneration.

Auditor KPMG is nominated for re-appointment, with the board empowered to set audit fees.

Two general mandates are up for renewal: • An issuance mandate permitting the board to allot and deal with new shares up to 20% of the company’s issued share capital (excluding any treasury shares) as at the date of the resolution. • A repurchase mandate allowing buybacks not exceeding 5% of issued shares, with an additional resolution to extend the issuance mandate by the amount of shares repurchased.

A special resolution will be put forward to approve amendments to the company’s Articles of Association, authorising directors or the company secretary to handle all related procedural requirements.
