高伟电子(01415)于公告中披露，将在即将举行的股东大会上审议授予董事一般授权，允许公司于授权期间内按不超过现有已发行股本(不含库存股)10%的上限购回股份。该授权如获批准，公司可购回最多约86,830,080股股份，总已发行股份数为868,300,800股。
根据披露，董事会认为此举有助于提升股东回报，并符合公司及股东整体利益。所涉资金来源将遵循开曼群岛公司法及香港上市规则规定，资金来自公司可合法动用的内部资源。董事会强调，若在行使购回权力时对公司营运资金及资本负债水平有重大不利影响，将不会进行回购。
公告显示，公司过去十二个月股份在联交所的最高价约为每股43.06港元，最低价约为每股15.50港元。该购回议案及其他董事提案将于2026年5月28日以虚拟方式召开股东大会时表决。公司亦将于2026年5月22日至5月28日期间暂停办理股份过户登记。董事会表示，此次回购安排一旦通过，操作将严格遵守香港上市规则及相关法律。
