CITY COOLXUAN (08050) Reinstates Minimum Public Shareholding

CITY COOLXUAN (08050) announced that the company was recently notified by the offeror that on February 3, 2026, the offeror transferred a total of 24 million shares (representing approximately 8.85% of the company's total issued share capital as of the date of this announcement) to four independent third-party individual investors, with each investor receiving 6 million shares from the offeror. The share transfer was completed on February 3, 2026.

To the best of the Board's knowledge, information, and belief, following the completion of the share transfer, none of the investors holds 5% or more of the company's total issued share capital, and none have become a substantial shareholder of the company. As a result of the share transfer, the number of shares in which the offeror has an interest has decreased from 224 million shares (approximately 82.75% of the total issued share capital) to 200.5 million shares (approximately 73.90% of the total issued share capital).

In light of the above, and considering that Executive Director Mr. Wang has an interest in 76,400 shares (approximately 0.03% of the total issued share capital) as of the date of this announcement, a total of 70,718,200 shares (representing approximately 26.07% of the total issued share capital) are held by the public (as defined in the GEM Listing Rules) as of the announcement date.

Consequently, the company has restored the minimum public shareholding of 25% of the total number of issued shares as required by Rule 17.37B of the GEM Listing Rules.
