华夏文化科技集团有限公司（简称“华夏文化科技”）与Kyosei-Bank Co., Ltd.（简称“Kyosei Bank”）联合发布公告称，载有多项重组事项详情的通函已于2026年4月27日寄发予股东。该通函内容包括股本重组、变更每手买卖单位、债务重组、发行新股份、发行可换股债券、申请清洗豁免、计划的特别交易及有关清偿契据的特别交易等，同时包含独立董事委员会推荐建议、独立财务顾问意见函件及召开股东特别大会的通告。
公告显示，原计划召开的股东特别大会已延期至2026年5月18日（星期一）上午十时正，地点为香港湾仔港湾道26号华润大厦29楼2905室，相关详情已在通函及股东特别大会通告中披露。
此外，应华夏文化科技要求，其股份自2024年11月21日上午九时起已在联交所暂停买卖，且将继续停牌，直至另行刊发公告。公告指出，新股份上市及买卖需满足联交所关于最低公众持股量的规定，若发行新股份可能导致违反上市规则，联交所将不会批准其上市及买卖。同时，重组事项的完成需待多项先决条件达成，包括证监会授予清洗豁免及联交所批准认购股份、可换股债券换股股份及计划股份上市及买卖，故建议重组存在不确定性。
