Guangdong Yueyun Transportation Company Limited (stock code: 03399) has announced a proposal to renew the annual caps for existing continuing connected transactions for a further three-year term covering 2026 to 2028. The key transactions include those under the First Right of Operation Agreement and the Rescue Services Entrustment Master Agreement with Guangdong Provincial Communication Group Company Limited (GCGC).
Under the First Right of Operation Agreement, the proposed annual caps for the subcontracting arrangements, covering expressway service zones and advertisements, are RMB376,307,000, RMB425,704,000, and RMB436,333,000 for each of the three years ending 31 December 2026, 2027, and 2028, respectively. The agreement grants a first right to operate service zones on expressways controlled by GCGC and allows the Group to enter into subcontracting arrangements with reference to appraised values and negotiated fee splits.
The Rescue Services Entrustment Master Agreement has been renewed for an additional three-year term from 1 January 2026 to 31 December 2028. The main scope covers vehicle towing, accident-site cleaning, and safety services on GCGC-managed expressways. The proposed annual caps for these services are RMB314,328,000, RMB316,117,000, and RMB317,924,000 for 2026, 2027, and 2028, respectively.
An extraordinary general meeting (EGM) is scheduled for 18 December 2025 in Guangzhou to seek approval of the above proposals. The Company states that the arrangements are intended to continue supporting its expressway service operations and related rescue services in Guangdong Province.
