先声药业集团有限公司（02096.HK）8月20日发布自愿公告称，董事会已决议行使股东授予的股份回购一般授权，计划自2026年8月21日起在公开市场回购公司股份，最高回购金额不超过人民币10亿元。

根据公告，股东于2026年6月12日股东周年大会上批准的回购授权上限为2.56819861亿股，约占截至2026年6月12日已发行股份总数的10%。此次“建议股份回购”的有效期至以下时间点的较早者结束：(a)公司下届股东周年大会举行日期；(b)公司根据组织章程细则或适用法律需最迟举行下届股东周年大会的日期；或(c)股东大会通过普通决议案撤销或修订相关授权之日。

公司表示，将动用内部资源实施本次股份回购，并承诺在操作过程中严格遵守公司组织章程、香港联合交易所有限公司证券上市规则及其他适用法律法规。公告称，董事会认为当前回购将展示公司对业务前景的信心，并有助于提升公司价值。

公司同时提醒投资者，实际回购的时间表、数量及价格将取决于市场状况，并由董事会酌情决定；不能保证回购一定会在任何特定时间或以特定规模完成。投资者在买卖公司股份时须保持谨慎。
