YADEA Reports No Share Capital Changes in August 2026; 4.23 Million Options Remain Outstanding

YADEA Group Holdings Ltd. filed its Monthly Return for Equity Issuer to Hong Kong Exchanges and Clearing Limited for the period ended 31 August 2026, confirming a stable share structure and continued compliance with listing requirements.

The authorised share capital stayed at 5.00 billion ordinary shares with a par value of USD 0.00001, representing total authorised capital of USD 50,000. No adjustments were recorded during the month.

Issued share capital also remained unchanged at 3.11 billion ordinary shares, and the company held no treasury shares as of 31 August 2026. As a result, the total number of issued shares—including those not held in treasury—stood at 3,112,647,294.

Management confirmed that the public float exceeded the Main Board’s 25 % minimum threshold, ensuring ongoing compliance with Hong Kong Listing Rule 13.32B.

Under the share-option scheme adopted on 22 April 2016 and granted on 17 January 2023 at an exercise price of HKD 16.14, 4.23 million options were outstanding at both the beginning and end of the month. No options were exercised, cancelled, or lapsed, leaving potential dilution at approximately 0.14 % of current issued share capital.

No warrants, convertible securities, or other equity-related instruments were issued, redeemed, or repurchased during the reporting period, and the company raised no funds through option exercises.
