Henderson Land secures shareholder backing for HK$0.76 final dividend, board re-elections and fresh share mandates

Henderson Land Development Company Limited (Henderson Land) announced that all items tabled at its Annual General Meeting on 2 June 2026 were approved by poll, reflecting broad shareholder support across operational, capital-management and governance matters.

The FY 2025 audited financial statements were accepted with 99.996 % of votes cast, and a final dividend of HK$0.76 per share (no scrip option) was endorsed by 99.98 % of shares voted.

Board continuity received solid backing: five directors—Dr Lee Ka Kit, Dr Lee Ka Shing, Madam Fung Lee Woon King, Mr Suen Kwok Lam and Mrs Lee Pui Ling, Angelina—were re-elected with support ranging from 92.69 % to 96.36 %. KPMG was re-appointed as auditor, drawing 99.72 % approval.

Shareholders renewed key capital-market authorities: • Share buy-back mandate: 99.99 % in favour. • General issue mandate: 86.69 % in favour. • Extension of issue mandate by the amount of shares repurchased: 86.83 % in favour.

A special resolution to adopt a new Articles of Association met the 75 % threshold comfortably, securing 95.80 % support.

Computershare Hong Kong Investor Services acted as scrutineer for the poll. All directors were present at the meeting. As of the meeting date, Henderson Land had 4.84 billion issued ordinary shares, all entitled to vote, with no restrictions on voting rights.
