集海黄金集团有限公司（下称“集海黄金”，股票代码：02489）于最新公告中透露，其董事会已获授一般授权，可于股东大会决议通过当日的已发行股份总数中回购不超过10%的股份。公司现有已发行股份合计约24亿股，若于授权获批后股本数量保持不变，回购上限约为2.4亿股。
公告显示，此次回购计划将遵循香港联合交易所有限公司证券上市规则及开曼群岛公司法的相关规定，回购资金来源包括公司溢利、股份溢价账等。公司表示，通过实施股份回购，可提升每股资产净值及每股盈利，符合整体股东和公司最佳利益。
公司同时提议向董事授出可发行不超过已发行股份总数20%的一般授权，以满足后续融资和发展需求；若上述回购顺利进行，发行授权亦可相应扩大。董事会强调，回购将不会导致公共持股比例低于规定的25%。
根据公告，集海黄金将于2026年6月26日上午十时三十分在香港德辅道中19号环球大厦12楼1203B、1204–05室召开股东周年大会，以表决包括股份回购授权、发行授权以及董事重选等议案。公司提醒股东注意，公司将自2026年6月23日至2026年6月26日（包括首尾两日）暂停办理股份过户登记手续，股东须于6月22日下午四时三十分前完成过户，以享有出席股东周年大会并表决的资格。
