Truly International Cancels 12.85 Million Shares in July, Affirms Public Float Compliance

Truly International Holdings Limited reported a net reduction of 12.85 million ordinary shares for the month ended 31 July 2026, reflecting ongoing share-repurchase activity.

The company’s issued share capital fell to 2.93 billion shares (excluding treasury shares) from 2.95 billion at the end of June, a decrease of approximately 0.44%. All repurchased shares were cancelled, and no treasury shares were held at month-end. Transaction prices for the cancelled shares ranged from HKD 0.88 to HKD 0.91, with cancellations approved at the 12 May 2026 general meeting and executed on 16 July 2026.

Authorised share capital remained unchanged at 5.00 billion shares with a par value of HKD 0.02, equivalent to HKD 100.00 million. No movements were recorded under share option schemes, warrants, convertibles or other equity-linked instruments.

Truly International confirmed compliance with the Main Board’s minimum public float requirement of 25% as of 31 July 2026.

The monthly return was submitted to the Hong Kong Stock Exchange on 4 August 2026 by Company Secretary Lau Fan Yu.
