车市科技(01490)公告称，董事会将于2026年5月28日举行股东周年大会，审议并授权公司可回购不超过已发行股本（不含库存股）10%的股份，即最多约1.2346亿股。公司股份目前在香港联合交易所有限公司主板上市，总发行股份数约12.346亿股。
本次购回所需资金将按照开曼群岛公司法、公司组织章程大纲及细则以及香港上市规则，从可合法动用的资金中支出。公司董事会表示，此项计划旨在增强股东回报，并优化资本结构，若行使回购授权，董事会将于适当时机并在符合上市规则及相关法规的前提下进行。
董事会认为，股份回购符合公司及股东的整体利益。若相关决议案获得通过，公司将依据授权在法定期限和范围内实施回购计划。公司并将于2026年5月22日至2026年5月28日暂停办理股份过户手续，以供确定有权出席并投票的股东资格。
