2026年9月30日，彤程新材料集团股份有限公司（09607.HK）发布公告称，公司控股股东及一致行动人于2026年9月29日通过香港联合交易所有限公司集中竞价交易方式合计增持公司H股733,400股，占公司总股本的0.11%。本次增持后，控股股东及一致行动人合计持股数由375,570,200股增至376,303,600股，持股比例由54.89%提升至55.00%，触及1%与5%的整数倍变动阈值。
根据公告，本次直接增持的主体为公司实际控制人张宁，其个人持股数量由8,375,000股增至15,709,000股，持股比例由0.12%上升至0.23%。增持资金来源为自有资金。RED AVENUE INVESTMENT GROUP LIMITED与Virgin Holdings Limited的持股数量及比例保持不变，分别为294,570,000股（43.05%）和80,162,700股（11.72%）。
公司表示，本次权益变动不触发要约收购义务，也不会导致控股股东及实际控制人变更。信息披露义务人将按《中华人民共和国证券法》及《上市公司收购管理办法》等相关规定继续履行信息披露义务。
