老铺黄金（06181）近日发布公告，董事会提请即将召开的股东周年大会审议并授权公司可于香港联合交易所回购不超过已发行H股股份总数10%的股份。据公告，截至最后可行日期，该公司已发行H股数量约为1.435亿股，若上述提案获股东批准，最高回购规模约1435万股。
公告显示，本次回购将严格依据相关法律法规及公司章程，从公司可合法用于回购的资金中拨付。董事会指出，回购目的在于提升每股资产价值及股东整体回报，认为有关授权符合公司及全体股东的最佳利益。老铺黄金强调，若提案获得通过，此次回购将不会对其日常运营及资本架构产生重大不利影响，也不会触发任何强制要约收购的规定。
据悉，老铺黄金拟于2026年5月8日（星期五）在北京召开股东周年大会审议包括回购授权在内的多项决议，并将于5月5日至5月8日暂停股份过户登记。该公司董事会表示，在获得授权的有效期内，将根据市场状况和资金安排，酌情实施股份购回。
