百济神州有限公司（06160）9月14日公告，截至2026年3月2日至2026年8月31日的认购期结束，公司共有4,590名合资格全职员工通过2018员工购股计划购买62,473份美国存托股份（ADS），对应812,149股普通股，占公司已发行股份总数约0.05%。
本次认购的购股价为每份ADS 267.21美元（约每股普通股161.15港元），相当于认购期首尾两个交易日纳斯达克收盘价较低者314.36美元及359.58美元的85%折让。参与员工在认购期内共计从薪金中扣除17,091,157.78美元用于购股。
公告显示，本次购股后，2018员工购股计划下仍有4,822,408股普通股授权额度可供未来授出。上述参与者均非公司董事、高级行政人员或主要股东等关联人士，计划亦未设立绩效目标和回扣机制，相关股份发行仅受税务扣缴限制。百济神州表示，通过持续提供股权激励机会，可进一步加强员工与股东利益的一致性。
