贝壳-W(02423)于2026年8月14日发布公告，披露已回购并于当日注销26,677,794股A类普通股，约占此前已发行股份（不含库藏股）总数的0.77%，该部分回购价格为每股5.2073美元。同时，公司根据与股东签订的股份退回契据，无偿退回并注销了2股A类普通股；并于同日完成1,047,489股B类普通股转换为A类普通股。变动后，公司A类普通股总数为3,300,858,110股，B类普通股总数为134,903,162股。
公告同时披露，于2026年8月13日公司在纽交所购回13,857股A类普通股，回购价格区间为每股5.66美元至5.72美元，涉资总额约7.90万美元。根据购回授权，贝壳-W(02423)可回购股份总数为346,243,906股，至今公司已在交易所回购28,275,715股，占授权通过当日已发行股份总数约0.817%。
公司表示，其本次回购及股份转换事宜已遵循香港联合交易所有限公司证券上市规则及其他相关法律法规的要求。公告由联席公司秘书李思婷签署。
