朝威控股(08059)发布公告，董事会建议于即将召开的股东周年大会上授出股份购回授权，规模最高可达股东批准当日已发行股本（不包括任何库存股份）的10%。公司公告显示，截至最近可行日期，朝威控股已发行股份数为1,010,605,000股，拟购回数量上限约为101,060,500股。
公告指出，购回股份所需资金将来自公司内部资源，并依据开曼群岛公司法及香港联合交易所有限公司GEM证券上市规则开展相关程序。公司认为，适度回购有利于提升股东回报与优化资本结构，不会对本集团财务状况造成重大不利影响。
朝威控股同时披露的股价资料显示，自2025年4月至2026年6月初，股份于联交所最高报价约每股0.068港元，最低约0.012港元。公司董事会表示，上述购回安排有助增强市场对公司前景的信心，并符合公司及全体股东的整体利益。
股东周年大会订于2026年6月26日举行，会议通过后方可正式实施购回计划。公司另将于2026年6月23日至6月26日期间暂停办理股份过户登记。董事会建议股东于股东周年大会上审议并表决相关议案。
