Hyphens Pharma International completes final 18% buyout of Ardence Pharma

Hyphens Pharma International announced the completion of its third and final tranche for the acquisition of an 18 % stake in Ardence Pharma Sdn Bhd on Apr, 29 2026. The purchase raises the group’s ownership in Ardence Pharma to 100 %.

The consideration for Tranche 3 is 15.945 million Malaysian ringgit, equivalent to about 5.18 million Singapore dollars, and is funded entirely from internal resources.

Under Singapore Exchange Catalist Rule 1010, the deal is classified as a discloseable transaction. The relevant relative figures are 9.36 % for the net-profit test and 4.79 % for the market-capitalisation test; when combined with the preceding Tranche 2, the figures rise to 13.54 % and 8.73 %, respectively—still below the 75 % threshold that would require shareholder approval.

Based on Ardence Pharma’s audited accounts to Dec, 31 2025, the book value and net tangible assets attributable to the 18 % stake are both about 1.02 million Singapore dollars.

Pro-forma calculations show that, if the transaction had been completed on Dec, 31 2025, Hyphens Pharma International’s net tangible asset per share would have decreased from 14.92 to 13.55 Singapore cents, while earnings per share for FY2025 would have increased from 1.89 to 2.07 Singapore cents.

No directors or controlling shareholders of Hyphens Pharma International have any direct or indirect interest in the acquisition, and no new service contracts are proposed in connection with the deal.
