本次交易因最高适用百分比超过5%但低于25%，构成香港上市规则第14章须予披露的交易。鉴于Evermega持有本公司间接非全资子公司Tai Seng Food Point 30%的股权，Evermega及其全资拥有的Evermega Investment亦被视为附属公司层级的关联人士，本次支付BHCC保证金同时构成上市规则第14A章所指的附属公司层级关联交易。董事会已批准该事项，独立非执行董事亦认为交易条款公平合理，并符合公司及股东整体利益。由于相关规定豁免，支付BHCC保证金无需股东批准。
