BOE Varitronix Buys 158,000 Shares for Incentive Plan and Discloses HK$56.00 Million Tenancy Caps

BOE Varitronix Limited announced two developments on 22 May 2026:

Share purchase for Share Award Plan • Between 18 and 22 May 2026, the plan trustee acquired 158,000 shares on-market, equal to 0.020 % of the company’s issued share capital. • Average purchase price: HK$4.189 per share, implying total consideration of HK$0.66 million (excluding fees). • Management stated the repurchases replenish the share pool for long-term incentives aimed at retaining and attracting key staff, and that current financial resources comfortably support the buybacks.

Supplemental details on Framework Tenancy Agreement with BOE and affiliates • Under HKFRS 16, the company will recognise right-of-use (ROU) assets for premises leased from BOE group entities. • Aggregate caps (ROU assets plus fixed rental payments) total HK$56.00 million over the contract term, broken down as follows: – 1 May – 31 Dec 2026: HK$19.00 million, of which HK$9.00 million relates to ROU assets and HK$10.00 million to rental expenses. – FY 2027: HK$15.50 million (rental). – FY 2028: HK$16.00 million (rental). – 1 Jan – 30 Apr 2029: HK$5.50 million (rental).

All other terms in the 4 May 2026 tenancy announcement remain unchanged. The board reiterated that future share purchases will depend on market conditions and discretionary decisions. Shareholders and investors are advised to exercise caution when dealing in the company’s shares.
