香港上市公司银杏教育（01851）宣布，于2026年6月12日召开股东周年大会，审议并授予董事于相关期间内回购不超过已发行股本10%的股份。公司指，基于最后实际可行日期，银杏教育已发行股份总数为5亿股，若授权获股东批准，最多可回购约5000万股。
公司称，本次购回资金将依据适用法律及上市规则，从合法来源支出，包含在开曼群岛公司法允许范围内动用溢利或其他合规渠道。董事会认为，适度回购有助于提升股东回报与优化资本结构，符合公司及股东的整体利益。
根据公告，银杏教育自2025年4月至2026年4月期间的股份月度最高与最低交易价格分别介乎0.61港元至4.60港元。公司将在取得股东大会通过后，按市场状况及投资需求视乎是否执行回购计划。另据公告，股东周年大会将于6月12日上午10时在中国四川省成都市青羊区锦里中路2号举行，相关股东可于6月8日至6月12日期间办理过户登记手续。公司强调，如回购授权获通过，将在对公司财务及运营保持稳健的前提下进行股份购回。
