LH Group: Shareholders Approve All AGM Resolutions with Over 99% Support

LH Group announced that all seven resolutions tabled at the Annual General Meeting on 10 June 2026 were approved by poll, reflecting strong shareholder endorsement across operational, governance and capital-management mandates.

Total Shares and Turnout The company had 800.00 million issued shares eligible to vote. Valid votes cast totalled 614.09 million, representing a participation rate of 76.76%.

Key Voting Results 1. Financial Statements: The FY 2025 audited consolidated accounts and related reports were adopted with 100% of votes cast in favour (614.09 million).

2. Board Composition and Remuneration • Executive Director Ko Sau Chee Grace and Independent Non-executive Director Hung Wai Man were each re-elected with 100% support. • The board was authorised to determine directors’ remuneration, also receiving 100% support.

3. Auditor Re-appointment PricewaterhouseCoopers was re-appointed as external auditor. The proposal secured 99.87% approval (613.28 million for; 0.81 million against).

4. Share Issuance Mandate Shareholders granted the board a general mandate to allot and issue shares up to 20% of issued capital, passing with 99.37% support (610.20 million for; 3.89 million against).

5. Share Repurchase Mandate Authority to repurchase up to 10% of issued shares received unanimous approval (100%).

6. Extension of Issuance Mandate The general issuance mandate will be extended by the number of shares repurchased, approved with 99.37% support.

7. Memorandum & Articles Amendments (Special Resolution) The adoption of the second amended and restated memorandum and articles of association was approved with 99.84% support, comfortably above the 75% threshold required for special resolutions.

All directors attended the meeting, and Computershare Hong Kong Investor Services acted as scrutineer. The results reinforce shareholder confidence in LH Group’s governance and capital-management flexibility for the year ahead.
