Smart Fish acquires 170 Qingdao car-park spaces for RMB25.50 million via debt set-off

Smart Fish Wealthlink Holdings Limited announced that its wholly owned subsidiaries Daqi Culture (Shenzhen) Co., Ltd. (“Purchaser”) and Top Billion Finance Limited (“Lender”) signed a sale-and-purchase agreement on 29 May 2026 to acquire 170 basement car-park spaces in Qingdao, Shandong Province, from Qingdao Lushang Jinxiu Real Estates Co., Ltd. (“Vendor”). The agreed consideration of RMB25.50 million (approximately HK$29.33 million) will be settled through a dollar-for-dollar set-off against part of the HK$33.69 million outstanding loans owed by two independent borrowers to the Lender, resulting in no cash outflow for the Group.

The property was independently valued at RMB30.60 million, implying the purchase price represents a 16.61 % discount to appraised market value. Management expects to lease out the spaces, targeting annual rental income of about RMB1.02 million, and views the transaction as a means to secure a stable income stream while retaining potential for long-term capital appreciation in the PRC property market.

Completion is subject to regulatory approvals, no material breach of warranties, and a satisfactory PRC legal opinion on title; the long-stop date is 30 June 2026. Settlement will occur within three business days after all conditions are met. Post-completion, the Purchaser will hold full usage rights to the car-park spaces; the asset is currently vacant.

Under Hong Kong Listing Rules, the deal’s size triggers a discloseable transaction classification, as the highest percentage ratio exceeds 5 % but remains below 25 %, requiring public disclosure without shareholder approval.

Smart Fish’s core businesses include securities and futures dealing, financial investments, money lending, and an AI-driven short-drama venture launched in 2025. The Board states that the acquisition terms are fair and reasonable and align with shareholder interests.
