Following the transaction, the company’s issued share capital (excluding treasury shares) declined from 219.73 million to 219.69 million shares, representing a 0.0182% reduction. Treasury shares now stand at 40,000, while total issued shares remain unchanged at 219.73 million.
The buyback forms part of the mandate approved on 27 May 2026, which authorises the repurchase of up to 21.97 million shares. To date, 40,000 shares—equivalent to 0.18% of the authorised limit—have been utilised under this mandate.
Under Hong Kong listing rules, a moratorium restricts Wai Chi Holdings from issuing new shares or disposing of treasury shares until 8 July 2026. Company Secretary Mr. Cheung Wai Hung confirmed that the repurchase complied with all relevant Main Board requirements and that no material changes have been made to the explanatory statement filed on 21 April 2026.
