SANXUN GROUP flags potential transfer of controlling stake; trading remains suspended

Sanxun Holdings Group Limited (“SANXUN GROUP”) has alerted investors to a possible change in its shareholding structure following legal developments involving its controlling shareholder, Mr. Qian Kun.

The British Virgin Islands (BVI) Court appointed an interim receiver over all of Mr. Qian’s shares in Q Kun Ltd.—another controlling shareholder of SANXUN GROUP—on 3 December 2025. The Board has now been informed that the receiver has applied to the BVI Court for directions to approve a proposed sale of these shares. An initial hearing was held on 22 June 2026, after which the Court ordered the matter to be relisted on a date yet to be fixed.

Although SANXUN GROUP is not a party to the proceedings, the Company engaged legal counsel to attend the hearing and is assessing whether to apply for formal inclusion in the case. Further disclosures will be made in accordance with Hong Kong Stock Exchange regulations as developments occur.

Trading in SANXUN GROUP shares has been suspended since 9:00 a.m. on 1 April 2025 and will continue until the Hong Kong Stock Exchange’s resumption guidance is fulfilled. Shareholders and potential investors are urged to exercise caution when dealing in the Company’s securities.
