中国金茂（00817）公告称，其间接全资附属公司北京方兴亦城置业有限公司已与嘉兴琮茂股权投资合伙企业（有限合伙）签署协议，以8.84亿元现金收购天津体茂置业有限公司51%股权及约5.22亿元债权本息。交易完成后，天津体茂将由中国金茂间接控股49%变为100%持股的全资附属公司。\n\n交易对价参考两项因素确定：一是独立评估机构以资产基础法评估的天津体茂2025年12月31日净资产7.11亿元；二是需受让的债权本息总额5.22亿元。中国金茂将在协议签订后15个工作日内一次性支付全部对价，所需资金由内部资源拨付。\n\n天津体茂负责开发位于天津市河西区的“体北金茂府”项目。该项目占地约10.82万平方米，计容建筑面积约22.65万平方米，规划为可售住宅及社区配套设施，预计2027年9月全部竣工。\n\n根据中国企业会计准则编制的财务数据，截至2025年12月31日，天津体茂总资产65.68亿元，净资产3.27亿元；2024及2025年度分别实现税后亏损0.83亿元与盈利4.04亿元，经营状况已由亏转盈。\n\n公司表示，此次收购将使天津体茂成为全资子公司，有利于确保项目后续开发顺利推进。根据香港联交所上市规则第14章，交易最高适用百分比率超过5%但低于25%，构成须予披露交易，需履行公告及申报义务。
