Cabbeen AGM Green-Lights FY2025 Accounts, HK0.92-Cent Final Dividend and Renewal of Share Mandates

Cabbeen Fashion Limited held its annual general meeting on 21 April 2026, with all nine ordinary resolutions securing shareholder approval by at least 98.68% of the votes cast. The poll covered 668.59 million eligible shares, and no voting restrictions or abstentions were recorded.

The meeting endorsed the audited financial statements for the year ended 31 December 2025 and confirmed a final dividend of HK0.92 cent per ordinary share for shareholders on record as of 27 April 2026.

Governance motions also passed comfortably. Executive Director Rongqin Ke and Independent Non-executive Director Ming Shu Leung were re-elected with 99.94% and 99.71% support, respectively. The board was authorised to determine directors’ remuneration.

Operational mandates received broad backing. A general mandate allowing the company to repurchase its own shares was approved with 99.998% support, while the mandate to allot and issue shares, including the resale or transfer of treasury shares, garnered 98.68% support. An extension enabling the board to increase the issuance mandate by the amount of shares repurchased also passed with the same level of support.

KPMG was re-appointed as auditor, with the board authorised to fix its remuneration; the motion attracted 99.998% approval.

Computershare Hong Kong Investor Services Limited acted as scrutineer for the vote count. Chairman Dr. Ziming Yang and Non-executive Director Yung Kwok Tsui were present at the meeting.
