Time Interconnect Technology Limited (1729) Completes HK$1.63 Billion Share Placing

Time Interconnect Technology Limited (1729) announced the completion of its Placing Agreement on 20 February 2026. A total of 108.00 million new shares were placed at HK$15.22 per share, representing approximately 5.45% of the company’s issued share capital prior to completion and around 5.16% after completion.

The net proceeds total about HK$1.63 billion, with the Company indicating that approximately 50% is intended for strategic investments and acquisitions, 30% for developing its global business and expansion of overseas operations, and 20% for working capital and general corporate purposes.

Following the placing, the Company’s issued share capital expanded from 1,983.23 million shares to 2,091.23 million shares, while the largest shareholder, Luxshare Precision Limited, continues to hold 66.02% of the enlarged share capital. Not fewer than six independent third-party placees participated in the offering, and no single new shareholder has become a substantial shareholder. The net issue price per share is approximately HK$15.13.

The Company has clarified a minor numerical detail from an earlier announcement, confirming that the Placing Price discount is approximately 8.85% to the average closing price of around HK$16.70 over the five consecutive trading days immediately preceding 10 February 2026. All other particulars in previous disclosures remain unchanged.
