China Titans Energy Schedules 11 June 2026 AGM; Proposes 20% Issuance Mandate, 10% Buyback and Board Re-elections

China Titans Energy Technology Group Co., Limited will hold its annual general meeting (AGM) on 11 June 2026 at 11:15 a.m. in Suite 2703, 27/F, Shui On Centre, Wanchai, Hong Kong.

Key agenda items are as follows:

1. Financial Statements • Shareholders will vote on adopting the audited consolidated financial statements and directors’ and auditor’s reports for the year ended 31 December 2025.

2. Auditor • The board seeks to re-appoint SHINEWING (HK) CPA Limited as external auditor and to authorise directors to fix its remuneration.

3. Board Composition • Resolutions will be put forward to re-elect Mr. Gao Xia and Mr. An Wei as executive directors, Mr. Liu Wei as an independent non-executive director and Ms. Meng Yao as a non-executive director. • A separate resolution authorises the board to set directors’ remuneration.

4. Share Issuance Mandate • Directors request a general mandate to allot and issue additional shares—up to 20% of the company’s issued share capital (excluding treasury shares) during the mandate period. • The mandate extends to issuing convertible securities, options and warrants.

5. Share Buyback Mandate • A parallel mandate would allow the company to repurchase up to 10% of its issued shares on the Hong Kong Stock Exchange or other recognised exchanges.

6. Mandate Extension • Subject to both mandates being approved, the issuance limit would be enlarged by the amount of shares repurchased under the buyback authority, capped at an additional 10% of issued shares.

7. Key Dates for Shareholders • Share transfer books close from 8 June to 11 June 2026 (both dates inclusive). • To qualify for AGM attendance and voting, shareholders must lodge transfer documents with Computershare Hong Kong Investor Services by 4:30 p.m. on 5 June 2026. • The record date for voting rights is 11 June 2026.

8. Proxy Submission • Proxy forms and relevant authorities must reach Computershare Hong Kong Investor Services at least 48 hours before the meeting.

9. Contingency for Severe Weather • If Typhoon Signal No. 8 or above, or a Black Rainstorm Warning, is in force after 6:00 a.m. on the meeting day, the AGM will be adjourned, with details to be announced on the company and HKEX websites.

All resolutions will be decided by ordinary vote. Chairman Mr. Gao Xia issued the notice on 23 April 2026.
