SMIT calls 9 July 2026 EGM to approve 7.81% stake sale in Shenzhen Giga Design

SMIT Holdings Limited has convened an Extraordinary General Meeting (EGM) for 4:00 p.m. on 9 July 2026 at its Hong Kong headquarters (Room 4202-04, 42/F, China Resources Building, Wanchai) to seek shareholder approval for a disposal of part of its investment in Shenzhen Giga Design Automation Co., Ltd. (“Shenzhen Giga”).

The single ordinary resolution will ask shareholders to:

• Approve, confirm and ratify the Equity Transfer Agreement signed on 2 April 2026 between SMIT’s wholly-owned subsidiary, SMIT Group Limited (vendor), and Shanghai Linke Xinlun Venture Capital Partnership (Limited Partnership) (purchaser). • Endorse the sale of RMB 100 million in registered capital of Shenzhen Giga—equivalent to 7.8125 % of Shenzhen Giga’s total registered capital and 8.9835 % of its total paid-in capital. • Authorise any one SMIT director to execute all documents and take all actions necessary to implement the transaction.

Administrative details include proxy submissions to Computershare Hong Kong Investor Services no later than 4:30 p.m. on 3 July 2026 and a books-closure period from 6 to 9 July 2026 (both days inclusive).

If approved, the disposal will reduce SMIT’s equity interest in Shenzhen Giga by the stated percentages and introduce Shanghai Linke Xinlun Venture Capital as a new shareholder in the semiconductor design company.
