维亮控股(08612)发布公告，公司董事会已决议于即将召开的股东周年大会上寻求授予一般性股份购回授权，拟最多回购相当于于最后实际可行日期（2026年4月22日）公司已发行股份（不包括库存股份）10%的股份。公告显示，维亮控股参考最后实际可行日期已发行约4.1472亿股股份，若获股东大会通过，公司最多可回购约4147.2万股。
公司指出，本次购回所需资金将根据香港联合交易所有限公司GEM上市规则以及开曼群岛适用法律的相关规定，从其可合法用于回购股份的资金中拨付。此外，过去12个月期间（截至2026年4月22日），维亮控股股份于联交所的最高及最低成交价介乎每股0.194港元至0.070港元。董事会认为，适时回购股份有助于提升股东回报及优化公司资本结构，符合公司及其股东的整体最佳利益。
维亮控股已在公告中表示，本次购回授权仍须在定于2026年6月11日召开的股东周年大会表决通过后方可正式实行。公司同时强调，购回将在确保公众持股比例不低于监管要求的前提下进行。
