TL Natural Gas Holdings Limited (8536)宣布与华特动力及九域投资控股订立合营协议，拟通过增资方式在香港以及深圳成立合营企业。公告显示，合营企业增资完成后将分别由TL Natural Gas、华特动力及九域投资控股持有51%、24.5%及24.5%权益。该合营企业集团将主要从事在中国开发和部署的甲醇氢燃料电池离网供电系统及液冷式超级充电站的管理及营运业务。

增资完成后，合营企业的股本将达600万港元。华特动力与九域投资控股各认购147万港元新发行股份，分别占合营企业总股份的24.5%。公告指出，TL Natural Gas将透过部分未动用所得款项净额参与该项目。合营企业完成增资后将成为TL Natural Gas的间接非全资附属公司，并与其账目合并入账。

根据GEM上市规则，合营协议所涉的资本承担适用百分比率超过5%但低于25%，构成须予披露交易，需遵守相关申报及公告规定。公告亦提及，TL Natural Gas已决议将原本用于成立从事买卖黑色颗粒合营公司的300万港元募资金额，重新分配至本次合营企业，以配合策略发展。
