万励达（股票代码：08482）于近日公告，董事会已向股东大会提呈授予一般及无条件股份购回授权的议案，计划最多回购相当于于股东大会通过相关决议当日已发行股本（不包括库存股份）总数10%的股份。根据现有公告披露，万励达当前已发行股份数量为179,687,520股，若按此计算，最大回购规模可达17,968,752股。
据公告，万励达拟利用根据其组织章程、开曼群岛相关法律法规及香港联合交易所有限公司GEM证券上市规则规定可合法动用的资金进行购回。董事会表示，适时实施股份购回计划有助于提升每股资产净值，对公司和股东整体利益具有正面作用。公司强调将综合评估财务与市场情况，在确保公司的营运资金及资本结构稳定的前提下行使回购授权。
本次股东周年大会预定于2026年8月28日（星期五）上午十一时正于香港召开，相关议案随同通函一并分发供股东表决。公司同时提示，根据已发布公告，将于2026年8月25日至8月28日（包括首尾两日）暂停办理股份过户登记，股权登记截止时间为2026年8月24日（星期一）下午四时三十分。
