Suntec REIT obtains 100 million Singapore dollars refinancing facility with change-of-control clauses

Mar, 31 2026 — ESR Trust Management (Suntec) Limited, manager of Suntec Real Estate Investment Trust, said the trust’s trustee has signed a 100 million Singapore dollars loan facility with an undisclosed bank to refinance existing borrowings and for general working-capital uses.

Under Singapore Exchange Listing Rule 704(31), the agreement contains events-of-default provisions that would be triggered if: • the manager ceases to be a subsidiary of Acrophyte; • the Sponsor Group’s collective stake in both Acrophyte and the manager falls below 51%; or • the manager of Suntec REIT is replaced without lender approval (subject to stated exceptions).

A breach of these conditions could affect facilities totaling about 3.8472 billion Singapore dollars, of which roughly 3.6872 billion Singapore dollars is currently drawn.
