CHINA ITS Mourns Passing of Independent Director Zhou Jianmin, Triggers Temporary Board Non-Compliance

China ITS (Holdings) Co., Ltd. reported the passing of independent non-executive director (INED) Mr. Zhou Jianmin on 19 May 2026. Mr. Zhou had served on the Board since October 2019 and held multiple roles, including chairman of the Nomination Committee and member of both the Audit and Remuneration Committees.

Effective immediately, fellow INED Mr. Lai Hongyi has been appointed chairman of the Nomination Committee. Following Mr. Zhou’s passing, the Board now comprises two executive directors and two INEDs, leaving the company temporarily out of compliance with Hong Kong Listing Rules 3.10(1) and 3.21, which require a minimum of three INEDs and an Audit Committee of at least three non-executive directors.

The Board plans to appoint a new INED—who may also serve on the Audit, Nomination and Remuneration Committees—within three months from 19 May 2026, in line with HKEX requirements. Further announcements will be made once a suitable candidate is identified.
