Dongjiang Environmental (stock code: 00895) announced the re-designation of its eighth session Board member, effective 2 February 2026. According to the approved amendments to the Articles of Association, one of the nine Board seats must be filled by an employee representative. Following a democratic election at an employees’ representative meeting, Mr. Zhu Lintao was changed from a non-employee Director to an employee Director for a term ending upon expiry of the eighth session of the Board.
Mr. Zhu, aged 50, holds a master’s degree and is a member of the Communist Party of China. His previous roles include finance and general management positions at various subsidiaries and affiliated entities. He currently serves as an executive Director, deputy secretary of the Company’s Party Committee, chairman of the labour union, and a director at a subsidiary. Under a service contract, Mr. Zhu receives no additional remuneration for his position as employee Director; his overall remuneration is determined based on internal policies, with details to be disclosed in the Company’s annual reports.
Following this appointment, the ratio of Directors who concurrently serve as senior management of Dongjiang Environmental and serve as employee representatives remains in compliance with applicable legal and corporate governance requirements. No other changes to the Board’s composition or committees have been announced. As of the announcement date, Mr. Zhu does not have any relationships with other Directors, substantial shareholders, or senior management, and has not held any other listed directorships in the past three years.
