WS-SK TARGET GROUP LIMITED（万顺瑞强集团有限公司，股份代号：8427）宣布，于2025年12月28日与卖方及目标公司深圳万顺叫车云信息技术有限公司签订买卖协议，拟以3,400万港元收购目标公司相当于1%注册资本的权益，交易将通过发行无息承兑票据（期限三年，可酌情延长一年）作价结算。

根据公告，目标公司主要从事网约车平台运营，注册资本为人民币1亿元。截至2023年及2024年12月31日止年度，目标公司分别实现收益约人民币8.66亿元及人民币11.82亿元，2023年净亏损约1.09亿元，2024年净利润约2,735.5万元；至2025年9月30日，目标公司总资产约人民币6,000万元，净负债约人民币4.382亿元。独立估值报告显示，该公司整体股权估值约为港币36.5百万元/1%股权，本次交易价格较估值有约6.8%折让。
