Duality Biotherapeutics, Inc. (DualityBio, 09606) has reported several capital movements in its Next Day Disclosure Return dated 2 June 2026.
The company repurchased 64,500 ordinary shares on 2 June 2026 through on-market transactions at an average price of HK$206.17 per share (high: HK$209.40; low: HK$198.10), spending HK$13.30 million. All repurchased shares have been retained as treasury stock, lifting the treasury balance to 184,300 shares. The purchases were executed under the share repurchase mandate approved on 20 June 2025, under which 184,300 shares, or 0.21 % of the shares outstanding on mandate date, have now been bought back. A 30-day moratorium on new share issues or treasury share disposals extends to 2 July 2026.
Separately, directors exercised options from the Pre-IPO Equity Incentive Plan, prompting the issue of 8,200 new shares on 1 June 2026 at HK$217.71 each and 9,500 new shares on 2 June 2026 at HK$206.62 each, adding a total of 17,700 shares to the register.
After factoring in the repurchase and option exercises, the company’s issued share capital (excluding treasury shares) declined to 90.43 million from 90.48 million, a net reduction of 46,800 shares, or 0.05 %. Total issued shares, including treasury stock, stand at 90.61 million.
DualityBio confirms that all transactions were conducted in accordance with Hong Kong Stock Exchange Main Board Rules and that no material changes have been made to the explanatory statement dated 29 May 2025.
