MiniMax Group Inc. held an extraordinary general meeting (EGM) on 15 September 2026 at which all four ordinary resolutions were passed by poll, solidifying the company’s commercial tie-up with Alibaba Cloud Computing Ltd. and expanding its capital-raising flexibility.
The two Alibaba-related resolutions received near-unanimous support. Resolution 1 approved the supplemental agreement to the Master API Service Agreement and the revised annual caps for 2026-2028; 924.95 million votes (99.99%) were cast in favour, with only 0.05 million votes (0.01%) against. Resolution 2, covering the supplemental agreement to the Alibaba Cloud Services Agreement and its new caps for the same period, recorded identical backing—924.95 million votes (99.99%) for and 0.05 million (0.01%) against. Alibaba and its close associates—holding 39.66 million shares, or 11.36% of MiniMax’s issued share capital—abstained from voting on both items due to material interests.
Shareholders also broadened the Board’s financing toolkit. Resolution 3 granted directors a general mandate to issue additional Class A ordinary shares, attracting 169.77 million votes (94.86%) in favour and 9.20 million votes (5.14%) against. Resolution 4 authorised the addition of repurchased shares (up to 10% of shares outstanding at the 2025 AGM date) to the issuance mandate; 173.59 million votes (96.99%) supported the measure, while 5.38 million (3.01%) opposed. Controlling shareholder Dr. Yan Junjie and related entities—together holding 79.10 million shares (22.65% of issued capital)—abstained from both mandate-related resolutions in accordance with listing rules.
At the meeting date, MiniMax had 349.24 million shares in issue, split into 268.13 million Class A shares (one vote each) and 81.10 million Class B shares (ten votes each) under its weighted voting rights structure. All directors were present, and Tricor Investor Services Limited acted as scrutineer for the poll.
With the EGM approvals now secured, MiniMax can proceed under the revised commercial terms with Alibaba Cloud and exercise its refreshed share issuance authorities as strategic needs arise.
