C&D Property to Seek Shareholder Nod on HK$0.20 DPS, New Mandates and Board Re-elections

C&D Property Management Group will hold its annual general meeting (AGM) on 27 May 2026 in Hong Kong.

Key AGM proposals • Share issuance mandate: Directors to seek authority to issue up to 20% of the issued share capital, equal to a maximum of 281.65 million shares based on the 1.41 billion shares in issue as at 24 April 2026. • Share repurchase mandate: Permission to buy back up to 10% of issued shares, or 140.83 million shares, with an extension mandate allowing any repurchased shares to be added to the issuance limit. • Dividends: Board proposes a final dividend of HK$0.15 per share and a special dividend of HK$0.05 per share, totalling HK$0.20 per share for FY 2025. Eligible shareholders must appear on the register by the close of business on 3 June 2026; the book will be closed 2–3 June 2026. • Board composition: Re-election of Executive Director and Chairperson Qiao Haixia; Independent Non-executive Directors Lee Cheuk Yin Dannis and Li Kwok Tai James; and Non-executive Director Tian Meitan (appointed March 2026). • Auditor: Grant Thornton Hong Kong proposed for re-appointment with an estimated FY 2026 audit fee of HK$1.20 million.

Timetable highlights • Register closes for AGM attendance: 21–27 May 2026 (record date: 27 May). • Proxy submission deadline: 10:00 a.m., 25 May 2026. • Register closes for dividend entitlement: 2–3 June 2026 (record date: 3 June).

No immediate plans for share issuance or buy-backs were disclosed. The proposed mandates, dividends, and director appointments are subject to shareholder approval at the upcoming AGM.
