华鼎集团控股有限公司（华鼎控股，股票代码：03398）于日前发布公告，拟于2026年5月29日（星期五）上午在中国杭州市余杭区临平工业区北沙东路56号华鼎工业园召开股东周年大会，审议并授权董事在未来一段时间内回购不超过公司已发行股份总数（不含库存股）10%的股份。根据公告，截至最后可行日期，公司已发行股份总数为2,099,818,000股，回购上限约为209,981,800股。
公司表示，回购资金来源将依据公司章程以及开曼群岛适用法律和香港联合交易所有限公司证券上市规则，使用集团内部合法可用的资本。董事会指出，此次回购将有助于提升公司资产净值和每股收益，符合公司及股东的整体最佳利益。董事会亦强调，回购将在市况及资金状况适宜时适度进行。
公告同时列示了公司过去十二个月（截至最后可行日期）股票的最高和最低交易价格分别为每股0.163港元和0.050港元。公司计划在5月26日至5月29日期间暂停办理股份过户登记，登记最后日期为5月22日。董事会表示，如上述回购安排于股东周年大会上获得批准，将在认为对公司和全体股东有利的情况下择机实施，并持续关注市场状况与资金安排。该授权若获通过，将在明年股东周年大会结束、或适用法律及公司章程规定的期限届满之前，或股东另行通过相关普通决议案撤销或修改该权限之日自动失效。
