Jia Yao Holdings proposes fresh 20% share issuance and 10% buy-back mandates ahead of 18 June 2026 AGM

Jia Yao Holdings Limited has issued a circular convening its annual general meeting (AGM) for 18 June 2026 at 11:00 a.m. in Shenzhen, Guangdong.

Key resolutions to be tabled include:

1. Renewal of General Mandates • Issue Mandate: Directors may allot and issue new shares up to 20% of the issued share capital as at the date of the AGM. With 600.00 million shares currently in issue (Latest Practicable Date: 16 April 2026), the authority would allow issuance of up to 120.00 million shares. • Buy-back Mandate: Directors may repurchase up to 10% of issued shares, equivalent to a maximum of 60.00 million shares. • Extension Mandate: The share issue limit may be increased by the number of shares actually repurchased under the Buy-back Mandate. The Board states it has no present intention to exercise either mandate.

2. Board Composition • Re-election of Chairman and Executive Director Mr Yang Yoong An and Independent Non-Executive Director Ms Guo Wei. • The Nomination Committee confirms Ms Guo’s independence under Listing Rule 3.13 and supports both candidacies.

3. Auditor Re-appointment • SHINEWING (HK) CPA Limited is recommended for re-appointment as external auditor for the financial year ending 31 December 2026.

4. Shareholder Logistics • Shareholders on record as of 18 June 2026 are entitled to attend and vote. • Register of Members will be closed from 12 June to 18 June 2026 (both days inclusive); share transfers must be lodged by 4:00 p.m. on 11 June 2026. • Proxy forms must reach Union Registrars Limited no later than 48 hours before the AGM.

If all resolutions pass, the new mandates will replace those expiring at the conclusion of the AGM. The Board recommends shareholders vote in favour of all proposed resolutions.
