友联国际教育租赁控股有限公司(1563)的全资子公司(作为出租人)于2025年12月17日(交易时段后)与一名独立第三方(作为承租人)签订融资租赁协议，根据公告约定以人民币3,640万元向该承租人购买相关设备，并再进行为期36个月的回租安排。该项租赁的总额约为人民币3,954.8万元，其中包含租赁本金和约314.8万元的租赁利息，年利率为5.2%。
根据公告，承租人与2025年9月29日披露的前融资租赁协议项下的承租人同受同一最终实益拥有人的控制。依据香港上市规则第14.22条，将本次交易与前次交易合并计算后适用百分比比率超过5%但低于25%，构成须予披露的交易，须遵守上市规则第14章的通知及公告规定。
公告显示，以设备的账面价值及市场情况为参考基础，出租人与承租人经公平磋商后确定收购价款与回租条款。公司方面指出，该项融资租赁为日常业务活动的一部分，有望带来稳定的融资租赁收入与现金流量。交易所需程序均符合上市规则及监管要求。
