Yael Capital Management Limited与滉达富控股有限公司（“滉达富控股”，股份代号：1348）联合公布，就收购滉达富控股全部已发行股份及注销全部未行使购股权的强制性无条件现金要约已于2026年1月29日截止。公告显示，要约人未对要约作任何修订或延长。

要约结果方面，截止2026年1月29日16时，共有220,110,000股要约股份（占公司已发行股本约14.93%）获有效接纳，另有20,300,000份购股权获有效接纳并予以注销。经计及此次要约后，要约人及其一致行动人士合并持有滉达富控股1,107,528,000股股份，约占公司全部已发行股本的75.13%。要约完成后，公众股东持有的股份约占公司已发行股本的24.87%。

本次要约的相关结算已或将尽快以平邮方式寄发予有效接纳要约的股东及购股权持有人。公告指出，公司目前尚未满足上市规则所要求的至少25%公众持股量，但不存在严重不足的情形。要约人的唯一董事及拟加入董事会的新董事承诺将尽快采取适当步骤，协助公司恢复满足公众持股量要求。公司亦将向联交所申请暂时性豁免并于适当时机另行公告相关安排，以尽快恢复符合上市规则规定的最低公众持股量。
