Café de Coral launches HK$50 million on-market share buy-back to enhance capital structure

Café de Coral Holdings Limited (“Café de Coral”) has announced a voluntary on-market share repurchase programme with a maximum aggregate consideration of HK$50.00 million.

The initiative will be executed under the general share buy-back mandate approved at the company’s annual general meeting on 19 August 2025 (“2025 Buy-back Mandate”), which remains valid until the conclusion of the next AGM scheduled for 19 August 2026. Management intends to seek renewal of the mandate at that meeting.

According to the board, the current trading price does not fully reflect the intrinsic value and long-term prospects of the group. The planned repurchases are expected to optimise the capital structure and support improvements in earnings per share and net asset value per share. All shares bought back will be cancelled, and transactions will be financed by internal resources without compromising the group’s working-capital requirements.

The programme will comply with the Hong Kong Listing Rules, the Codes on Takeovers and Share Buy-backs, the company’s bye-laws and Bermuda law. Execution timing, quantity and price will depend on market conditions at the board’s discretion. Shareholders have been advised to exercise caution when dealing in the company’s securities.

The board is chaired by Lo Hoi Kwong, Sunny; other members comprise two executive directors, four non-executive directors and four independent non-executive directors. The announcement was released in Hong Kong on 15 June 2026.
