Aspial Lifestyle Limited has begun an equity fund-raising exercise on May, 14 2026 to secure about 84.8 million Singapore dollars through a dual-tranche issue of new shares.
The first tranche is a private placement of 149.254 million new shares at S$0.402 each, aimed at collecting roughly 60.0 million Singapore dollars. DBS Bank, Oversea-Chinese Banking Corporation, SAC Capital and United Overseas Bank are acting as joint placement agents on a best-efforts basis.
Concurrently, the company will conduct a non-renounceable preferential offering of 61.709 million new shares, also priced at S$0.402 apiece, to existing eligible shareholders on the basis of one new share for every 30 held as of the May, 22 2026 record date. This tranche is underwritten by SAC Capital and is expected to raise about 24.8 million Singapore dollars.
Both issue prices represent an 8.1% discount to the volume-weighted average price of S$0.4375 on May, 13 2026, the last full trading day before the company requested a halt.
Proceeds will be allocated as follows: roughly 67.8 million Singapore dollars (80%) for general corporate activities, including expansion, investments and potential acquisitions; about 15.3 million Singapore dollars (18%) for working capital and loan repayments; and approximately 1.7 million Singapore dollars (2%) for transaction expenses.
Following the issuance of an aggregate 210.963 million new shares, Aspial Lifestyle’s issued share capital will rise from 1.85 billion to 2.06 billion shares, increasing the public float and trading liquidity.
Key dates include the expected listing of placement shares on May, 25 2026, the opening of the preferential offer on May, 28 2026, its closing on June, 8 2026, and the listing of preferential shares on June, 17 2026.
Controlling shareholders Aspial Corporation and Non-Executive Chairman Koh Wee Seng have irrevocably committed to take up their full entitlements under the preferential offer. The new shares will rank pari passu with existing shares but will not be entitled to dividends or distributions declared before their respective allotment dates.
