HANS GP HLDGS (00554) declined over 5% in morning trading. As of press time, the stock was down 5.36% to HK$0.164 with a turnover of HK$45.776 million.

On the news front, HANS GP HLDGS recently issued a profit warning, expecting the group to record a loss attributable to equity shareholders of no more than HK$120 million for the first half of 2025, compared to approximately HK$21.347 million in the first half of 2024.

The announcement stated that the expected increase in loss is mainly attributable to the corresponding financial impact of the group's acquisition of 54.44% of the total issued shares of Waida Traffic Holdings Limited from Templewater Brevo Holdings Limited and Ascendal Brevo Limited.

The financial impact includes depreciation and amortization expenses increasing by approximately HK$89 million compared to the same period in 2024, due to fair value adjustments made to the property, plant and equipment and intangible assets of the Waida Group following completion of the acquisition. Additionally, finance costs increased by approximately HK$50 million compared to the same period in 2024, resulting from liabilities arising from deferred payments payable by the group for the acquisition and outstanding consideration payable by the group for put option shares.
