Zhaoke Ophthalmology Approves 12-Month HK$100 Million Share Repurchase Plan

Zhaoke Ophthalmology Limited has announced board approval of an on-market share repurchase programme with an aggregate limit of up to HK$100.00 million over the next 12 months.

The initiative will be executed under the general share repurchase mandate granted by shareholders at the 15 May 2026 AGM. The mandate permits the company to buy back up to 10% of its issued share capital, equivalent to a ceiling of 54.87 million shares.

Repurchased shares will be cancelled after purchase. The company plans to finance the buybacks entirely with internal resources and will conduct transactions in accordance with its memorandum and articles of association, Hong Kong Listing Rules, the Takeovers Code and the Cayman Islands Companies Act. The board confirmed it will not repurchase shares to an extent that would reduce the public float below Stock Exchange requirements or trigger a mandatory general offer.

Management stated that the programme reflects confidence in the group’s business outlook and is intended to enhance long-term shareholder value. Execution timing, volume and pricing will remain at the board’s discretion and depend on prevailing market conditions.

The company cautioned shareholders and potential investors that there is no assurance on the exact scale or schedule of repurchases and advised prudent trading of the company’s securities.
